Once again, we bring you Boss News, keeping you abreast of the very latest events in the ECM, BPM and BPO sector. This month we have breaking news of the Adobe Systems inc. acquisition of Day Software Holding AG, with in-depth comment from Paul Carman, SVP, North America.

General economic trends indicate a slow global improvement, although low consumer spending and slow movement in the housing sector continue to be a cause for concern, both in the US and UK. In his Regional Update, Paul Carman, SVP North America, gives his usual informed overview of the situation in the US and its affect on our sector.

As in recent months, our news items include an extensive number of acquisitions. However, a noteworthy development this month, is that there is also a significant number of organisations reporting steady growth, suggesting that the economic climate is indeed, slowly recovering.

Read Paul Carman’s critique on this rather surprising acquisition
: Adobe to acquire Day Software
San Jose, California and Basel, Switzerland - July 28, 2010 - Adobe Systems Incorporated and Day Software Holding AG have announced the two companies have entered into a definitive agreement for Adobe to launch a public tender offer to acquire all of the publicly held registered shares of Day Software for CHF139 per share in cash in a transaction valued at approximately CHF255 million on a fully diluted equity-value basis. This approximates to US$240 million at the current exchange rate. Adobe’s acquisition of Day will strengthen the company’s enterprise software solutions and represents a significant market opportunity for Adobe to help organizations transform themselves by enabling them to create, manage, distribute and monetize content while optimizing the web experience for their customers.

Documetric Limited announces reverse takeover of Intelligent Environments Group
Rotherham, UK – July 2010 - Documetric Limited is pleased to announce that it has agreed to acquire Intelligent Environments Group plc ("IE" ), the AIM listed online financial services software provider. The acquisition is classified as a reverse takeover under the AIM Rules and subject to shareholder approval, IE will acquire the entire issued share capital of Documetric Limited. Following the combination of the two businesses, the Company will change its name to Parseq plc. A placing has also been completed raising gross proceeds of approximately £4.5million. Rami Cassis, Documetric’s CEO, said: “I am delighted to make this announcement which will create a financially strong new business under the Parseq name.  We will now have the capability to provide comprehensive technology led outsourcing solutions, which in turn will drive both our scale and our market share and drive growth in both established and new markets.”   Read more »

SAP Completes Tender Offer for Shares of Sybase, Inc.                                              
Walldorf, Germany - July 27, 2010 - SAP AG has announced the completion of the cash tender offer for all outstanding shares of common stock of Sybase, Inc., by Sheffield Acquisition Corp., a wholly-owned subsidiary of SAP, which expired at 9:00 p.m., New York City time on Monday, July 26, 2010. SAP also announced that it intends to effect a short-form merger under Delaware law as promptly as practicable, without the need for a meeting of Sybase stockholders. After the merger, Sybase will be a wholly owned subsidiary of SAP America, and Sybase shares will cease to be traded on the NYSE. Read more »

Software AG increases earnings by 33 percent          
Frankfurt - July 2010 - Software AG continued to show strong growth in Q2 2010 with total revenues up by 52 percent to €267.3 million. The high growth was driven by the webMethods business division with license revenue up by 31 percent and earnings more than doubled. This confirms the trend of recent quarters that the new webMethods business division is now a driver of earnings growth as well as the traditional Enterprise Transaction Systems business. At a corporate level, operating earnings, earnings after tax and earnings per share returned double-digit growth, reaching historical record levels. The free cash flow at €36.3 million (up 22 percent) also reached a new record level. Software AG expects the increasing volume of projects in the process solutions area to continue and has confirmed its forecast for fiscal year 2010.   Read more »

Wipro Records 31% YoY Growth in Profit After Tax in Q1 FY11
Bangalore, India and East Brunswick, New Jersey, USA - July 2010 - Wipro Limited has announced financial results under International Financial Reporting Standards (IFRS) for its first fiscal quarter ended June 30, 2010. Azim Premji Chairman of Wipro, commenting on the results said, “We are seeing strong demand environment across our industry verticals despite macro challenges. We added the highest number of billable employees ever, in this quarter. Our guidance reflects this momentum – for the quarter ended September 30, 2010, we expect revenues from our IT Services business to be in the range of $1,253 million to $1,277 million, a sequential increase of 4.1% to 6.1%*”.   Read more »

Aia Software and Hg197 sign partnership
London - July 2010 - Aia Software, a global supplier of intelligent document composition software, has announced it has signed a partnership agreement with Hg197, a North American company, dedicated to developing and supporting innovative software for data management. The ITP Document Platform will be added to Hg197’s document and print software and services portfolio. In line with their strategy to increase market share in the United States and Canada, Aia Software enlarges it’s footprint in the American and Canadian markets through this partnership.  Read more »

SAP Reports 16% Growth in Software and Software-Related Service Revenues for the Second Quarter 
July 27, 2010 - SAP AG has announced its preliminary financial results for the second quarter ended June 30, 2010. “We are pleased to report another quarter of growth in software and software-related service revenue,” said Werner Brandt, CFO of SAP. “The top line results were driven by continued growth in software revenue, strong support revenue, mainly from the majority of our customers who endorsed Enterprise Support, and double-digit growth in subscription revenue.”  Said Bill McDermott, Co-CEO,“Customers continue to invest for growth across large, midsized and small enterprises and within many industries. We had outstanding growth in strategic markets like the U.S. and we saw continued double-digit growth in key emerging markets in Latin America and Asia. This solid performance is due to renewed customer confidence, an ever-expanding ecosystem, as well as focused execution on our go-to-market strategy.”   Read more »

Autonomy closes CA Technologies acquisition and integrates software                            
Cambridge, UK and San Francisco - July 2010 - Along with the completion of the acquisition of CA Technologies' Information Governance business, Autonomy Corporation plc has announced that its meaning-based pan-enterprise search platform, the Intelligent Data Operating Layer (IDOL), now powers the recently-acquired Message Manager. This product has been renamed Autonomy Message Manager. Autonomy announced its acquisition of CA Technologies' Information Governance business on June 9, 2010. Read more »

Basware reports continued strong growth in slightly improved market
Espoo, Finland - Basware, a provider of purchase-to-pay solutions, disclosed continued strong financial results with the release of its Q2 2010 interim report, with a net sales growth of over 17% from Q2 2009 to EUR 27 million. Operating profit has continued to show significant growth, at EUR 3 million, an increase of 40% from the same period in 2009, representing 11.3 percent of net sales. Basware has seen further growth on a regional basis, with international operations accounting for 53% of net sales, a growth of 18%. The fastest growth was seen in the North American and Australian territories, with a combined growth of 141%. Net sales are expected to continue their positive growth on the level of 2009, and operating profit (EBIT) is expected to represent 10 to 15 percent of net sales.  Read more »

Autonomy signs OEM license agreement with IBM
Cambridge, UK - July 2010 - Infrastructure software developer, Autonomy Corp, has signed an OEM (original equipment manufacturer) license agreement with IBM to add to its large customer base, which features names such as AOL, BBC, SEC (Security and Exchange Commission), FedEx, Ford, NASA, US Department of Homeland Security and Department of Energy and Coca-Cola.   Read more »

A2iA Supports the Growth of its North American Subsidiary by Appointing Three New Directors
New York and Paris, France - July 2010 - A2iA, a developer of tools for document analysis and handwritten data extraction, has announced that it has named three new directors to its North American team. They are Wendi Klein, Diroector of Marketing and Communications, North America; Ati Azemoun, Director of Sales, North America and Yuriy Okrugin, Director Pre-Sales, Support and Maintenance, North and South America. A2iA Corp., the North American subsidiary of A2iA S.A., was created in 1999 by Jean-Louis Fages, President and Chairman of the Board, to support the business expansion in the United States and Canada.
