A small but specialized company in Scanning, Document Management and Workflow seeks acquisition. The company has developed its own data capture, document management, archiving and workflow systems. The tools are fully developed in J2EE and run on different platforms, such as Unix or the Microsoft environment. The system is in use with several large enterprises and has proven its capability in production. Despite this, the management has come to the conclusion that their background lies more in the consulting and technical side and consider that they are not well enough positioned for the commercial tasks required of them in order to grow the company. Consequently, they are currently seeking a strategic buyer with complementary offerings and better access to markets.

Our client is a large IT services company based in Germany. They have a business unit which has developed an advanced document automation and output management solution. Given the fact that it does not fit the core business of the parent company, they wish to divest it and are looking for a strategic buyer for this unit, including all of its software assets, clients and employees.
The solution provides an advanced correspondence and business document production system and a complete output management system.

  1. Providing correspondence plus business document production engine in combination with advanced output and print management capabilities.
  2. Clients primarily in financial services (insurance – large enterprises).
  3. Tight integration with Microsoft architecture and Word as formatting system (not needed for printing).

Large US based data capture and services company seeking acquisition(s) in Western Europe:

Our client is looking for companies based preferably in the UK, Germany, Benelux or France who offer document-centric BPO services. The emphasis would be on companies that offer services with a high number of BPO document transactions. The ideal scenario would be a company which has already developed vertical solutions for its clients and is offering this in an outsourcing business model (BPO). However, companies that have a solution that they wish to migrate to a BPO offering may also be of interest. Annual company revenue should be between €10M and €50M and in profit. The company must be well managed, with a strong management team and with a clearly defined growth strategy, which could be more quickly realized by becoming part of a larger (umbrella) organization.
