Companies introduced by Document Boss (DB) will be covered by the terms of our standard terms and will include the following unless explicitly excluded in writing within the signed manadate. The mandate agreement lasts for a period of 12 months (exclusive), whereby the term "introduced" for the purposes of this paragraph shall mean: a company identified by Document Boss and found to have the basic qualifications as agreed between DB and client. In the event that an acquisition agreement is reached, yet not fully signed by the end of the 12 month period, the terms of the mandate agreement will extend through the acquisition contract signing. If an agreement is reached between previously identified, introduced or presented by Document Boss within 24 months after the expiry date of the agreement, Document Boss will remain entitled to receive a fee according to the fee above or per the signed mandate agreement. Which ever takes precedent.

Confidentiality – Document Boss (DB) will ensure that potential target companies sign a non-disclosure agreement before the identity of the client company is disclosed. DB will take all reasonable actions to ensure that the potential targets do not discover the identity of the company before DB have a confidentiality agreement in place

Warranty - DB warrants that: the Services will be performed in a professional and workmanlike manner. DB shall not make any representations on behalf of our client and shall not have the power to bind our client to any commitments whatsoever toward any third party.

Understanding: This signed agreement, along with the associated signed “Document Boss mandate” represents the full understanding and agreement of all parties. No other oral representations or other agreements are valid.

Notices: An notice sent by a party by registered mail to the address of the other party listed the heading to this Agreement shall be deemed received by the addressee 7 days from mailing and if delivered by hand upon delivery.
